You must be at least 18 years old to use the Service. By using Demi, you confirm that you are 18 or older and that you have the legal capacity to enter into these Terms. You are responsible for all activity that occurs under your account.

You register for Demi using your phone number. You are responsible for keeping your account secure, including any devices connected to your account. You agree to notify us promptly if you believe your account has been compromised. We are not liable for any loss resulting from unauthorized use of your account.

You retain ownership of any content, files, tasks, or data you provide to the Service ("Your Content"). We do not claim ownership of Your Content. By using the Service, you grant us a limited license to process, store, and transmit Your Content solely to provide and improve the Service for you.

You are responsible for ensuring that Your Content does not violate any laws or infringe on the rights of others. You may delete Your Content or close your account at any time.

Demi is an AI-powered personal assistant that can help you manage tasks, draft communications, interact with connected services (such as Google Calendar and Gmail), and perform other actions on your behalf. The Service operates within the permissions you grant and will request your approval before taking certain actions.

Demi uses artificial intelligence to generate suggestions, drafts, and plans. AI-generated output may not always be accurate, complete, or appropriate for your specific situation. You are responsible for reviewing and approving any actions Demi takes on your behalf, and for the final decisions you make based on information the Service provides.

Demi can connect to third-party services (such as Google Calendar and Gmail) to act on your behalf. When you connect a third-party service, you authorize Demi to access and interact with that service within the scope of the permissions you grant. You can revoke these permissions at any time from your account settings.

We are not responsible for the availability, accuracy, or conduct of any third-party service. Your use of third-party services is subject to their own terms and privacy policies.

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe on the rights of any person or entity
• Send spam, unsolicited communications, or harassing messages
• Attempt to gain unauthorized access to the Service or its infrastructure
• Interfere with the operation of the Service or other users' use of the Service
• Use the Service to develop a competing product or service
• Reverse-engineer, decompile, or disassemble any part of the Service

We may suspend or terminate your account if we reasonably believe you are violating these Terms.

Certain features of the Service may require a paid subscription. Pricing, billing cycles, and payment terms will be presented to you before purchase. You agree to pay all fees associated with your subscription. Subscriptions automatically renew unless cancelled before the end of the current billing period.

We may change our pricing with at least 30 days' notice before the change applies to your next billing cycle. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.

We strive to keep Demi available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

The Service, including its design, software, features, and branding, is owned by Demi Personal Agent, LLC and is protected by applicable intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without our written permission.

To the fullest extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service. This includes, without limitation, damages for loss of profits, data, goodwill, or other intangible losses.

Our total aggregate liability for all claims related to the Service shall not exceed the total amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the limitation of certain types of liability. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that AI-generated content will be accurate, reliable, or suitable for any particular purpose. You use the Service and rely on its output at your own discretion and risk.

You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by other reasonable means at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Service.

You may close your account at any time by contacting us. We may suspend or terminate your access to the Service if you violate these Terms, if we are required to do so by law, or if we discontinue the Service. Where possible, we will provide reasonable notice before termination.

Upon termination, your right to use the Service ceases. You may request a copy of Your Content before closing your account. We will delete Your Content in accordance with our Privacy Policy.

If a dispute arises between you and the Company, we encourage you to contact us first so we can try to resolve it informally. If we cannot resolve the dispute informally, you and the Company agree to resolve it through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court.

You and the Company agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you and the Company waive any right to a jury trial.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service.
